• Service: The AI-powered prioritization platform known as Zation, including all functionalities, features, integrations with third party software, updates, and related content provided by Broad Technologies FZ-LLC.
• User/You: Any individual or legal entity accessing or using the Service.
• User Content: Any information, data, or material that you submit, upload, or otherwise provide through the Service, including company goals, user personas, stakeholder feedback, and other business data.
• Third-Party Services: Services, platforms, or APIs provided by third parties (such as Google, Microsoft, Stripe, etc.) that are integrated with or accessed via the Service.
• Account: A unique user account created by you to access and use the Service.
• AI Technology: The artificial intelligence, machine learning systems, and algorithms powering Zation's recommendations and insights.

By accessing, browsing, or using the Service—including through our website, mobile applications, APIs, and any related software—you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies or guidelines incorporated herein by reference (including our Privacy Policy and Data Processing Addendum, if applicable). If you do not agree, you must immediately discontinue use of the Service.

• Eligibility: You represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of a company, you represent that you have the authority to bind that entity.
• Account Registration: In order to access certain features, you must register an account. You agree to provide accurate, current, and complete information during registration and to update that information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• Security: You must notify us immediately of any unauthorized use or suspected breach of your account.

• Service Description: Zation is an AI-powered prioritization engine that analyzes your company goals, user needs, stakeholder feedback, and engineering effort estimates to generate data-driven product development recommendations. While our Service is designed to support decision-making, it is provided as an aid and should not be the sole basis for any business or product decisions.
• License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your internal business purposes in accordance with the subscription plan or other agreement in effect.
• Usage Restrictions: You agree not to:
  • Modify, adapt, or create derivative works based on the Service;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying structure;
  • Sell, lease, sublicense, distribute, or provide access to the Service to any third party;
  • Use the Service in any manner that violates applicable laws or regulations;
  • Use the Service to process or store sensitive personal data without an appropriate legal basis.

• User Data: You retain all rights to your User Content. By submitting data to the Service, you grant us a worldwide, non-exclusive license to use, modify, and process your content solely for the purpose of providing and improving the Service.
• Aggregated Data: We may use anonymized and aggregated data for analytics, service improvement, or commercial purposes without further notice to you.
• Data Processing: Our processing of personal and non-personal data is governed by our Privacy Policy and any applicable data protection laws (including GDPR, CCPA/CPRA, and Australian Consumer Law). You represent that you have all necessary rights and consents to submit the data to our Service.
• Third-Party Tools and Services: Our Service relies on third-party tools such as:
  • Analytics: Google Analytics and Microsoft Clarity
  • Database and Authentication: Supabase
  • Cloud Infrastructure: Google Cloud Platform (Cloud Run, Functions, Secret Manager) and Vercel
  • Payment Processing: Stripe
  Your use of these tools is subject to the respective third parties' terms and privacy policies.

• AI Output Disclaimer: Zation uses AI and data-driven models (including integration with third party Large Language Models' APIs and other AI providers) to generate recommendations. These outputs are provided for informational purposes only and do not guarantee accuracy, completeness, or specific outcomes. You acknowledge that:
  • The AI-driven recommendations are probabilistic and may be subject to errors or limitations;
  • Final decisions are your sole responsibility;
  • We shall not be liable for any business decisions made based on these insights.
• No Guarantees: We do not warrant that the Service will be error-free, uninterrupted, or that the outputs will be accurate or reliable. The Service is provided "AS IS" and "AS AVAILABLE."

• Subscriptions and Fees: Access to certain features of the Service requires a paid subscription, with fees billed via Stripe. The applicable fees and payment terms will be provided at the time of registration or subscription.
• Auto-Renewal and Refunds: Subscriptions may auto-renew unless canceled at least 48 hours before the renewal date. All fees are non-refundable unless otherwise required by applicable law or explicitly stated in a separate agreement.
• Taxes: You are responsible for all applicable taxes related to your purchase of the Service.

You agree to use the Service only for lawful purposes and in compliance with these Terms. Prohibited conduct includes, but is not limited to:

• Using the Service to transmit or store illegal, harmful, or infringing content.
• Attempting unauthorized access to the Service or its underlying systems.
• Reverse engineering, scraping, or otherwise attempting to extract the underlying code or architecture of the Service.
• Interfering with or disrupting the operation or security of the Service or any third-party systems integrated with it.

• Ownership: All intellectual property rights in and to the Service—including software, algorithms, interfaces, trademarks, and content—are owned by Broad Technologies FZ-LLC or its licensors. Nothing in these Terms transfers any rights to you except as expressly provided herein.
• User Feedback: Any feedback or suggestions you provide regarding the Service may be used by us without obligation or compensation and will be deemed non-confidential.

• General Disclaimer: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. THIS INCLUDES, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
• Service Limitations: We do not guarantee that the Service will meet your requirements, be error-free, or operate without interruption. We also do not guarantee the accuracy or reliability of any AI-generated outputs.
• Third-Party Services: The Service may include or access third-party services. WE DO NOT CONTROL, ENDORSE, OR ASSUME ANY RESPONSIBILITY FOR THE CONTENT OR PRACTICES OF SUCH THIRD PARTIES.

• Cap on Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
• Exclusion of Damages: IN NO EVENT SHALL BROAD TECHNOLOGIES FZ-LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

You agree to indemnify, defend, and hold harmless Broad Technologies and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your access to or use of the Service;
• Your breach of these Terms;
• Your violation of any rights of a third party or applicable law.

• Term: These Terms will remain in effect until terminated by either party.
• Termination by Us: We may suspend or terminate your access to the Service immediately and without prior notice if you breach these Terms or for any reason at our sole discretion.
• Termination by You: You may terminate your account at any time by following the procedures provided within the Service.
• Effect of Termination: Upon termination, your right to use the Service will cease immediately. Any obligations or provisions that by their nature are intended to survive termination (such as those relating to intellectual property, liability, and indemnification) shall survive.

• Service Changes: We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time without notice.
• Amendments to Terms: We may update these Terms at any time. Any changes will be effective upon posting to our website or within the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. For significant changes, we may provide notice to you in advance.

The Service may be subject to export controls and sanctions laws of the United Arab Emirates, the United States, the European Union, and other jurisdictions. You agree to comply with all applicable export and re-export laws and regulations.

• Governing Law: These Terms and any disputes related to the Service shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws principles. Notwithstanding the foregoing, certain jurisdictions (such as the European Union, California, or Australia) may have mandatory consumer protection laws that cannot be waived.
• Dispute Resolution: Any disputes arising out of or relating to these Terms or the Service shall first be resolved through good faith negotiations between the parties. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in Dubai (e.g., at the Dubai International Financial Centre or another agreed venue), except where prohibited by applicable law. Class action claims are hereby waived. Notwithstanding arbitration, either party may seek injunctive or equitable relief in any court of competent jurisdiction.

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, or outages in third-party services (such as cloud infrastructure failures).

• Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
• Entire Agreement: These Terms constitute the entire agreement between you and Broad Technologies FZ-LLC regarding the use of the Service and supersede all prior agreements, understandings, representations, and warranties, whether written or oral.
• No Waiver: Failure by us to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

• European Union Users: If you are located in the EU, you have rights under the General Data Protection Regulation (GDPR) and other local data protection laws. Our Data Processing Addendum applies to the processing of EU personal data.
• California Users: If you are located in California, please review our Privacy Policy for details on your rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA).
• Australian Users: These Terms do not exclude or limit any rights you may have under the Australian Consumer Law.
